In the event the Company’s absolute TSR for the Comparison Period is less than zero, no positive adjustment shall be made.
During each additional Option Term validly exercised pursuant to Paragraph 6.1 of the Original Lease (as modified by Paragraph 3 of this Second Amendment), the Base Rent for such Option Term shall be an amount equal to one hundred percent (100%) of the fair market rental value of the Premises (the “Fair Market Rental Value”) as measured during the applicable Comparison Period (as such term is defined in Paragraph 4(c)(ii) below).
