Closing Offset Phase definition
Closing Offset Phase means the time period beginning at the end of the Imbalance Phase and ending at the Closing Call.

Post-Closing Adjustment has the meaning set forth in Section 2.04(b)(ii).
Buyer Closing Certificate has the meaning set forth in Section 7.03(d).
Adjustment Escrow Funds means, at any time, the portion of the Adjustment Escrow Amount then remaining in the Adjustment Escrow Account.
Post-Closing Adjustment Amount has the meaning set forth in Section 2.2(a).
Estimated Closing Cash has the meaning set forth in Section 2.6(a).
