Client Infrastructure definition

Client Infrastructure means the Client’s systems and technical infrastructure (whether owned or licensed by the Client), including those systems that directly or indirectly interface and/or are interoperable with, and/or impact on, the Services, and which are not under Supplier’s management and control and explicitly identified as Supplier’s responsibility under this Contract, but excluding the Connectivity Infrastructure.

Client Infrastructure means all applications, networking, servers and Work that reside within Client’s data centres and domains.

Client Infrastructure means the equipment, software, or other technology within the Client’s direct control, which includes networks, routers, modems, firewalls, electrical power, etc. If Flow concludes that the cause of a problem being reported by a Client is attributable to certain defects in the Client Infrastructure, Flow shall notify the Client. It is the Client’s sole responsibility to correct any defects to the Client Infrastructure in order to keep the Software operational. If requested, additional support by Flow personnel can be made available to remedy performance issues that result from problems with Client Infrastructure. Assistance of this nature shall be categorized as consulting services (“Consulting Services”), which shall be subject to an additional fee. • In the event that the Supplier reasonably considers that the Client Infrastructure is inadequate and/or is (or may be) responsible for performance or functionality failures or degradation, the Client shall make such changes to Client Infrastructure (whether configuration or upgrades) as the Supplier may reasonably recommend.

• The Client shall not make changes to those elements of the Connectivity Infrastructure and Client Infrastructure that are within its control, which may impact on the Hosted Services, without the authorisation of the Supplier.

• Employees required by the employer to attend required training on a scheduled day off shall receive compensation for all hours in attendance in accordance with Article Hours of Work, and Article Overtime.

• Client shall promptly comply with the Client Infrastructure Requirements.

• Without limiting the other provisions hereof, as between the Parties, Client shall bear all responsibility and liability hereunder resulting from, or arising in connection with, the use and any malfunction in the operation of the Computer System or compromises to security resulting from Client's failure to comply with the provisions of this Section 2.4 or the Client Infrastructure Requirements.

• Regularly Scheduled Maintenance will occur between 2 AM and 6 AM in the local time zone for which the Client Infrastructure being maintained resides.

• All work performed in response to a disruption or a threat to the availability of a component of Company’s Hosting or Client Infrastructure within the control of Company is defined as “Emergency Maintenance”.

• All planned work performed on Company’s Hosting or Client Infrastructure by Company engineers, or staff is defined as “Scheduled Maintenance”.
