Clearance Certificates definition

Clearance Certificates means, as applicable:
Clearance Certificates as defined in Section 6.15.
Clearance Certificates has the meaning given to it in Section 1.7(a).

  • Marconi Canada shall provide the duplicate of such Clearance Certificate(s) to the Canadian Purchaser on the Closing Date.

  • The Seller shall be liable for all rates, taxes, insurances and other outgoings up until Registration of Transfer, and shall ensure that Rates Clearance Certificates are issued prior to Registration of Transfer.

  • Such indemnity shall survive until: (1) the delivery of the Clearance Certificates, except to the extent any such Clearance Certificate reflect a potential tax liability, in which case Sellers shall pay such liability in full and such liability shall survive until paid in full, or (2) any claim made pursuant to this Section 8.2(i) has been fully satisfied.

Clearance Certificates means a certificate pursuant to Section 6 of the Retail Sales Act (Ontario) and certificates pursuant to similar legislation in each other jurisdiction in which any of the Purchased Assets are located or the Vendor is registered for sales tax purposes, each of which indicates that all Taxes collectible or payable by the Vendor under such legislation have been paid up to the Closing Date or that the Vendor has entered into satisfactory arrangements for payment of such Taxes.
