Clean-Up Event definition

Clean-Up Event means (i) the redemption and/or purchase and cancellation of any Notes which, when aggregated with any Notes previously redeemed and/or purchased and cancelled, results in the total principal amount of such Notes which have been previously redeemed and/or purchased and cancelled exceeding the Clean-Up Threshold and (ii) the delivery of a certificate signed by two Authorised Officers of the Issuer or ZIC (where ZIC is not the Issuer) to the Trustee confirming the same;
Clean-Up Event means a Mandatory Tender of the Class A Certificates pursuant to Section 6.04 of the Standard Terms, at the election of ▇▇▇▇▇▇▇ Mac or the Sponsor at any time after the Aggregate Outstanding Bond Balance is not more than 5% of the Aggregate Outstanding Bond Balance on the Date of Original Issue.
Clean-Up Event means when on any date of determination following the end of the Replenishment Period, the Portfolio Notional Amount is equal to or less than 10 per cent. of the Initial Portfolio Notional Amount.

Examples of Clean-Up Event in a sentence

  • Payments of principal of the Class A Loan in connection with a Mandatory Clean-Up Event or Tax Redemption will be made in accordance with Section 9.1 and the Priority of Payments.

  • Subject to the foregoing provisions of this clause 7, Plastic Patrol is not liable to You for any loss or damage, whether direct, indirect, consequential or otherwise, including loss of revenues, profits, contracts, business or failure to realise anticipated savings, or loss or damage to goodwill or reputation, arising out of or in relation to any Clean-Up Event organised by You.

  • At least eight weeks prior to the City’s Spring Clean-Up Event, the Contractor shall submit a comprehensive list of items they will collect at the City’s Spring Clean-Up Event.

  • The Contractor shall provide drop-off Collection services, at no additional cost to the City, for an annual Spring City-Wide Clean-Up Event held traditionally on the first Saturday in May.

  • A notice given to a Party under or in connection with this Agreement shall be in writing and in English, and shall be sent, with respect to Plastic Patrol, to ▇▇▇▇▇@▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇.▇▇, and with respect to You, for the attention of the contact person and via the email address You provided when registering Your interest to organise, promote and/or run a Clean-Up Event on the Plastic Patrol website.


More Definitions of Clean-Up Event

Clean-Up Event means an event of the type described in Condition 6(g);
Clean-Up Event. ' means a Mandatory Tender of the Class A Certificates pursuant to Section 6.04 of the Standard Terms, at the election of Freddie Mac or the Sponsor at any time after the Aggregate Outstanding Bond Balance is not more than S% of the Aggregate Outstanding Bond Balance on the Date of Original Issue.
Clean-Up Event means conversion, repayment of some of the Convertible Bonds or any other corresponding event resulting in less than 10 per cent of the Convertible Bonds under these terms and conditions still being outstanding;
Clean-Up Event means that 75 per cent. or any higher percentage of the initial aggregate principal amount of the Notes (which, for the avoidance of doubt, includes any additional Notes issued pursuant to Condition 12 (Further Issues)) has been purchased and cancelled by, or on behalf of, the Issuer;
Clean-Up Event means the reduction of the Portfolio Notional Amount to 10% or less of the Initial Portfolio Notional Amount.
Clean-Up Event means redemption, repayment, cancellation or Conversion of some of the Convertible Bonds or any other similar event resulting in less than 10.00 per cent of the initial aggregate Nominal Amount of the Convertible Bonds under these Terms and Conditions still being outstanding;
Clean-Up Event has the meaning given in Condition 11(d) (Clean-up call);
