Cl Units definition

Cl Units shall have the meaning set forth in Section 4.2(a)(ii).

Examples of Cl Units in a sentence

  • When Class C-l Units are granted, the Board will establish an initial “Participation Threshold” amount with respect to such Class C-1 Units.

  • Upon execution of this Agreement, each unit of the Company outstanding prior to the execution of this Agreement shall be and hereby is split into 6.35991 Class A Units, 0.44438 Class B Units, 2.58001 Class C Units and 0.0001014518 Class Cl Units (all of which shall be retired in the Redemption).

  • A Unitholder that has more than one class of Units shall have a single Capital Account that reflects all such Units; however, the Capital Accounts shall be maintained in such manner as will facilitate a determination of the portion of each Capital Account attributable to Management Units, each class or series of Profits Units, and Cl Units, respectively.

  • For the sake of clarity, the Class C Units are separate and distinct from the Class Cl Units and are not included in any reference thereto.

Related to Cl Units

  • Initial Units means, with respect to any Initial Limited Partner, the aggregate number of Class A Units owned by such Initial Limited Partner as of the date of this Agreement.

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • Common Units is defined in the Partnership Agreement.

  • Core Units means such Units of the Trust that are issued to Core Investors with the condition that these are not redeemable for a period of two years from the close of the First Offer Period. Such Units are transferable with this condition, but otherwise shall rank pari passu with all other Units, save for this restriction. Any transfer of the Core Units, during the first two years of their issue as mentioned herein, shall be affected only on the receipt by the Registrar of a written acceptance of this condition by the transferee.

  • LP Units means the non-voting limited partnership units in the capital of BEP, other than the Preferred Units, including any LP Units issued pursuant to the Redemption-Exchange Mechanism.
