CL Technology definition

CL Technology means (i) all Technology developed by CL pursuant to the CMU-CL Agreements and (ii) the Transferred Assets.
CL Technology means (a) the Company-Owned Software constituting CloudLink and associated existing documentation (including, for the avoidance of doubt, the Current CL Software and all prior versions of CloudLink, whether or not currently in use by the Seller Entities), (b) the Technology constituting the CL Gateway and the Generic Connectors and (c) all Company-Owned Technology (including any build scripts, make files, test scripts and build files included in such Company-Owned Technology) that is exclusively used in or exclusively necessary for (i) the CloudLink Activities, or (ii) the development, maintenance, compilation, testing, deployment or provision of CloudLink as of the date of this Agreement, excluding in each case all CC Technology, the Technology for the Mitel Connectors, the Core Softphone Library and Internal Support Technology. CL Technology includes the Technology set forth on Exhibit C. CL Technology shall not include business books and records, computers, hardware or other tangible personal property.

Examples of CL Technology in a sentence

  • For the avoidance of doubt, this Section 3.5(b) does not grant CMU any right or license under any Apollo or CL Technology or Intellectual Property Rights (including, without limitation, the Transferred Assets and/or Conveyed Intellectual Property Rights).

  • Without limiting the generality of the foregoing, and except as set forth in 6.1(b), the Parties hereby acknowledge and agree that effective as of the TALA Closing: (a) CL has no further payment obligations under the CMU-CL Agreements; and (b) neither Apollo, nor CL, has any obligation to make any payments to CMU for any Exploitation of any CL Technology.

Related to CL Technology

  • New Technology means methods, products, processes and procedures developed through science or research;

  • Company Technology means all Technology used in or necessary for the conduct of the business of the Company or any of its Subsidiaries, or owned or held for use by the Company or any of its Subsidiaries.

  • Joint Technology means the Joint Know-How and the Joint Patent Rights.

  • Technology means all the software, prototypes, devices, drawings, specifications, lab notebooks, manuals, databases, equipment, files, technical memoranda, invention disclosures, patent application files, research studies, testing data, plans, files, formulas, computer programs, data and information, quality control records and procedures, research and development files containing, embodying or revealing the trade secrets, confidential information, and know-how that constitute Intellectual Property.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.
