CDA Documents definition

CDA Documents means the documents listed in this Section 1.2. Each of the CDA Documents is an essential part of the agreement between the Parties. The CDA Documents are intended to be complementary and to be read together as a complete agreement.
CDA Documents means the documents composing the Concession CDA and CDA for Segments 2-4 in the forms set forth in Volume II and III of this RFP.
CDA Documents has the meaning set forth in Section 1.2.

Examples of CDA Documents in a sentence

  • TxDOT may transfer and assign its rights, title and interests in the Agreement, this Lease and other CDA Documents as provided in Section 21.4 of the Agreement.

  • TxDOT reserves the right to enter upon, possess, control and utilize the Premises with or without payment of compensation to Developer to the extent and only to the extent specifically permitted in the CDA Documents.

  • On the Termination Date, this Lease shall terminate and Developer shall surrender possession and control of the Premises to TxDOT in accordance with all provisions of the CDA Documents, including but not limited to Sections 8.10 and 8.11 and Article 19 of the Agreement.

  • An Incident (beyond the control of any Developer-Related Entity) within the Managed Lanes or General Purpose Lanes that is responded to by Developer and measures instituted by Developer to clear the Incident and return lane availability as required under the CDA Documents and the Incident Management Plan.

  • All Governmental Approvals necessary for the Work that are Developer’s obligation to obtain pursuant to the CDA Documents and to which this Payment Request relates have been secured, except to the extent TxDOT and the issuing Governmental Entity have granted a written exception, and there exists no reason to believe that any future Governmental Approvals that are Developer’s obligation to obtain pursuant to the CDA Documents for the Work cannot be secured.

  • Failure by TxDOT to pay any amount in dispute shall not alleviate, diminish or modify in any respect Developer’s obligation to perform under the CDA Documents and Developer shall not cease or slow down its performance under the CDA Documents on account of any such amount.

  • All Utility Adjustment Work performed by Developer shall comply with the CDA Documents.

  • Regardless of any such activity or failure to conduct any such activity by TxDOT or the Independent Engineer, Developer at all times shall have an independent duty and obligation to fulfill the requirements of the CDA Documents.

  • The Parties shall cause the Independent Engineer Agreement to include all the rights and responsibilities of the Independent Engineer set forth in the CDA Documents.

  • There exists no adverse effect from a TxDOT Default, and both Parties would generally continue to perform their respective obligations (including Developer’s Renewal Work and Upgrade obligations) under the CDA Documents for the remainder of the Term absent early termination.

Related to CDA Documents

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Financing Documents means, collectively, this Agreement, the Note, the Security Documents, the Account Control Agreement and any other agreements, documents or certificates delivered pursuant hereto or thereto.

  • Term Documents shall have the meaning assigned that term in the Intercreditor Agreement.

  • L/C Documents means, with respect to any Letter of Credit, such Letter of Credit, any amendments thereto, any documents delivered in connection therewith, any application therefor, and any agreements, instruments, guarantees or other documents (whether general in application or applicable only to such Letter of Credit) governing or providing for (i) the rights and obligations of the parties concerned or at risk or (ii) any collateral security for such obligations.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Bid Documents means all the documents issued by the Chief Procurement Officer, or referenced by the Chief Procurement Officer as being available on the City's website and incorporated by such reference, in connection with an invitation for bids or proposals. Except for such Bid Documents as are posted on the City's website and incorporated by reference, all Bid Documents must be submitted by a bidder on the Bid Opening Date.

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Equity Documents means collectively the documents evidencing subscription to Equity to the extent of equity component of cost of the Project.

  • Related Documents mean and include without limitation all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Indebtedness.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Subordinated Documents means the Subordinated Note and any and all other documents, agreements, writings or instruments executed in connection therewith or pursuant thereto, in each case, as in effect on the date hereof and as amended, modified, restated or Refinanced in accordance with the terms hereof.

  • Contractor Documents means one or more document, agreement or other instrument required by Contractor in connection with the performance of the products and services being purchased by the State, regardless of format, including the license agreement, end user license agreement or similar document, any hyperlinks to documents contained in the Contractor Documents, agreement or other instrument and any other paper or “shrinkwrap,” “clickwrap,” “browsewrap” or other electronic version thereof.

  • Borrower Documents means, collectively, this Agreement, each Note and each Security Agreement, and each other instrument, agreement or document executed by the Borrower in connection with this Agreement or otherwise and each other instrument, agreement or document between the Borrower and the Lender in respect of any Obligations, as the same may be amended, modified or extended from time to time.

  • Senior Documents means, collectively, with respect to any Senior Obligation, any provision pertaining to such Senior Obligation in any Loan Document or any other document, instrument or certificate evidencing or delivered in connection with such Senior Obligation.

  • Bidding Documents means the set of Bidding Documents that preceded the placement of the Contract of which these GCC form a part, which were sold or issued by the Purchaser to potential Bidders, and in which the specifications, terms and conditions of the proposed procurement were prescribed.

  • Restructuring Documents means, collectively, the documents and agreements (and the exhibits, schedules, annexes and supplements thereto) necessary to implement, or entered into in connection with, this Plan, including, without limitation, the Plan Supplement, the Exhibits, the Plan Schedules, the Amended/New Organizational Documents, the Exit Facility Loan Documents, and the Plan Securities and Documents.

  • Assigned Documents has the meaning assigned to that term in Section 2.12.

  • Merger Documents means, collectively, this Agreement, the Certificate of Merger, and all other agreements and documents entered into in connection with the Merger and the other transactions contemplated hereby.

  • Bond Documents means the Bonds, the Indenture, the Loan Agreement, the Remarketing Agreement, the Remarketing Circular, and all amendments and supplements thereto.

  • LC Documents means the Letters of Credit and all applications, agreements and instruments relating to the Letters of Credit.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Notes and the Trust Securities.

  • Public Documents As defined in Section 4.02(a) of this Agreement.

  • Documents includes any and all instruments, documents, agreements, certificates, indentures, notices and other writings, however evidenced.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Junior Documents means, collectively, with respect to any Junior Obligations, any provision pertaining to such Junior Obligation in any Loan Document or any other document, instrument or certificate evidencing or delivered in connection with such Junior Obligation.

  • Tender Documents means the General and special conditions of contract (2.1.8) and tender specification (2.1.9).
