  • Notwithstanding anything to the ------------------------- contrary contained herein, Net Profits, Net Losses and items thereof arising with respect to a Portfolio Investment shall not be allocated to a Member who has not made a Capital Contribution with respect to such Portfolio Investment (unless such Member has a Carry Interest with respect to such Portfolio Investment).
