Cap Expiration Date definition

Cap Expiration Date has the meaning set out in Section 8.6(a).
Cap Expiration Date shall occur, and the provisions of this Section 2(e) shall no longer apply (unless the Holder, upon notice to the Company, imposes or reinstates a Beneficial Ownership Limitation on such Holder) on the earliest of (i) confirmation from the Trading Market that stockholder approval is not required to eliminate the Cap, (ii) approval by the Company’s stockholders of a resolution to eliminate the Cap if the Trading Market determines that stockholder approval is required to eliminate the Cap and (iii) the reasonable determination by the Company (on the advice or outside counsel) that stockholder approval is not required under applicable Trading Market listing standards or regulations to eliminate the Cap]. Any increase in the Beneficial Ownership Limitation will not be effective until the earlier of the 61st day after such notice is delivered to the Company[, or in connection with an increase in the Cap, upon any Company stockholder approval thereof]. The provisions of this Section 2(e) shall be construed and implemented in a manner otherwise than in strict conformity with the terms of this Section 2(e) to correct this Section 2(e) (or any portion hereof) which may be defective or inconsistent with the intended Beneficial Ownership Limitation herein contained or to make changes or supplements necessary or desirable to properly give effect to such limitation.   • L/C Expiration Date means the day that is thirty days prior to the Maturity Date then in effect (or, if such day is not a Business Day, the next preceding Business Day).
