The Private Placement Warrants held by BTIG or its Permitted Transferees and the Ordinary Shares that are issuable upon exercise of such Private Placement Warrants have been deemed compensation by the FINRA and are therefore subject to a 180-day lock-up pursuant to FINRA Rule 5110(e)(1), commencing on the effective date of the Registration Statement.

Notwithstanding the foregoing, BTIG may not exercise demand registration rights after five (5) years from the commencement of sales in the Company’s initial public offering, and may not exercise its demand rights on more than one occasion.
Ladies and Gentlemen: The undersigned, an executive officer and/or director of Cibus, Inc., a Delaware corporation (the “Company”), understands that BTIG, LLC (“BTIG”) proposes to enter into an Underwriting Agreement (the “Underwriting Agreement”) with the Company providing for the public offering (the “Public Offering”) of shares of the Company’s Class A common stock, par value $0.0001 per share (the “Common Stock”).
Other than the Engagement Letter, dated October 27, 2025, by and among the Company and BTIG, LLC, as amended (which shall remain in full force and effect), this Agreement constitutes the entire agreement of the parties to this Agreement and supersedes all prior written or oral and all contemporaneous oral agreements, understandings and negotiations with respect to the subject matter hereof.
The Company agrees to use commercially reasonable efforts to enter into an indemnification agreement in customary form, in favor of Continental Stock Transfer & Trust Company (or any successor transfer agent or warrant agent of the Company) in connection with the waiver of any requirement to provide a medallion guarantee in connection with any transfer of any equity securities of the Company by the Sponsor, BTIG or any of its Permitted Transferees.
