Subject to the foregoing, this Agreement shall bind and inure to the benefit of and be enforceable by the Mortgage Loan Seller, Franklin BSPRT and the Purchaser, and their respective successors and permitted assigns.
The Mortgage Loan Seller, ▇▇▇▇▇▇▇▇ BSPRT and the Purchaser each agrees to execute and deliver such instruments and take such further actions as any other party hereto may, from time to time, reasonably request in order to effectuate the purposes and to carry out the terms of this Agreement.
The Purchaser hereby makes, as of the date hereof, to and for the benefit of the Mortgage Loan Seller and Franklin BSPRT, each of the representations and warranties set forth in Exhibit B-2.
In the case of the failure of the Seller to make any such payment as and when due, ▇▇▇▇▇▇▇▇ BSPRT hereby agrees to make such payment or cause such payment to be made, promptly upon written demand by the Purchaser to Franklin BSPRT, but any delay in providing such notice shall not under any circumstances reduce the liability of Franklin BSPRT or operate as a waiver of the Purchaser’s right to demand payment.
Each of the Mortgage Loan Seller and ▇▇▇▇▇▇▇▇ BSPRT is also referred to herein as the “Responsible Repurchase Party”.
