Breakage Amount definition

Breakage Amount has the meaning set forth in Section 3.06 of the Series 2019-1 Class A-1 Note Purchase Agreement.

Breakage Amount means, with respect to the Transaction evidenced hereby (or, in the case of a Voluntary Partial Prepayment the applicable portion thereof that is the subject of such Voluntary Partial Prepayment), the present value of the Spread portion of the Transaction Fee Amounts (discounted using a LIBOR discount curve constructed by the Calculation Agent) that would have been payable to Buyer under such Transaction (or the applicable portion thereof) from (and including) the early Repurchase Date or applicable Prepayment Date (as applicable) to (but excluding) the scheduled Repurchase Date, as determined by the Calculation Agent assuming, solely for purposes of determining such amount, that (i) the Spread is equal to the Relevant Rate, (ii) the Repurchase Price payable upon such termination were to remain outstanding until the originally scheduled Repurchase Date and (iii) Seller has transferred to Buyer Securities on each Purchase Date with an aggregate Purchase Price applicable to each Purchase Date as set out in the “Purchase Price” provisions above.

Examples of Breakage Amount in a sentence

  • Subject to Section 14.2, payments of principal, Make-Whole Amount, if any, Prepayment Settlement Amount, if any, and Breakage Amount, and interest becoming due and payable on the Notes shall be made in New York, New York.

Breakage Amount means, with respect to a Conduit Purchaser, for its Allocated Commercial Paper for any Fixed Period during which Notes are repaid (in whole or in part) prior to the end of such Fixed Period, the amount, if any, by which (i) Fixed Period Yield (calculated without taking into account any Breakage Amount), which would have accrued on the amount of the payment of such Conduit Purchaser’s Allocated Commercial Paper during such Fixed Period (as so computed) if such payment had not been made, as the case may be, exceeds (ii) the sum of (A) Fixed Period Yield actually received by such Conduit Purchaser in respect of such Allocated Commercial Paper for such Fixed Period and, if applicable, (B) the income, if any, received by the Conduit Purchaser from the Conduit Purchaser’s investing the proceeds of such payments on such Allocated Commercial Paper.
Breakage Amount means the amount of any loss (excluding loss of anticipated profits), cost or expense incurred by the Alternative Rate Lender (as calculated by it in a commercially reasonable manner, in connection with which the Alternative Rate Lender may use any reasonable averaging or attribution methods) as a result of its termination of, or acquisition of an offsetting position with respect to, all or any portion of any funding or other hedging arrangement entered into by the Alternative Rate Lender in whole or in part in connection with an Alternative Rate Agreement. If the Breakage Amount calculated by the Alternative Rate Lender is a positive number, then such amount shall be payable by the Borrower pursuant to Sections 2.05(a) and 3.05(b) of this Agreement.
