Board Documents definition

Board Documents means such agreements, documents and instruments, including without limitation, a shareholder’s agreement or amendments to Emergent’s Articles of Incorporation or Bylaws, as PJC shall request that are reasonably acceptable to the Consenting Convertible Note Holders, in order to (a) set the number of directors of Emergent at seven, (b) permit the Investor to name four of such directors and (c) permit certain other Convertible Note Holders who tender their notes in the Convertible Note Exchange Offer to initially designate one such director.
Board Documents shall have the meaning set forth in Section 5.4.
Board Documents shall be deleted and in their place shall be inserted the words "Bond Documents";

  • PJC shall ensure that Evermore and the Company enter into appropriate Board Documents reasonably acceptable to Evermore to provide, among other things, that Evermore will have the right to designate one (1) director to the Company’s board of directors in accordance with PJC’s board rights set forth in the MTAs.

More Definitions of Board Documents

Board Documents means the Ground Lease and the Facilities Lease.
Board Documents means the Books of a Group Company to which the Director did, or was entitled to, have access (or receive a copy) during the Director's term of office as an officer of the Group Company and Board Document means any of those Books.
