The Company, Bioceres and Arcadia will, after the Effective Date, enter into agreements to effect the intent of Exhibit C to the Letter Agreement, as provided in the Letter Agreement.
A refusal by Arcadia to purchase Shares of Bioceres pursuant to this Section 2.2 shall not give BUSA the right to dissolve Verdeca.
The representations and warranties of Bioceres contained in Section 6 (as modified by the disclosures on the Schedule of Exceptions from time to time) shall be true and correct on and as of the Closing in all material respects, with the same effect as though such representations and warranties had been made on and as of the Closing.
