BDRs definition

BDRs. Brazilian Depositary Receipts to be issued by BRADESCO under the terms of this Agreement and the applicable law, within the scope of a Level I Sponsored BDR Program stablished by the CONTRACTING PARTY. Each BDR (i) shall represent one (1) Share that shall be deposited with the Custodian, (ii) shall be issued by BRADESCO in registered, book-entry form; and (iii) shall be traded on the organized over-the-counter market and on the stock exchange, within the limits provided for in the applicable regulations. Each BDR will grant its holder all the rights and benefits of the Share it represents, it being understood that the CONTRACTING PARTY’s Holders and the exercise of the rights granted to the Holders are subject to the terms and conditions set forth in this Agreement.
BDRs. Brazilian Depositary Receipts, to be issued by BRADESCO under the terms of this Agreement and the applicable legislation, within the scope of a BDR Program – Level III, sponsored by PRINCIPAL. Each BDR shall (i) represent a percentage of a Share, which shall be timely defined at the time of launch of the initial public offering, and which shall be deposited with the Custodian, (ii) be issued by BRADESCO in registered book-entry form, integers, without fractions, and (iii) be negotiable on an organized over-the-counter market and on a stock exchange. Each BDR shall grant its holder all rights and benefits proportional to the percentage of Shares it represents, provided that the exercise of the rights granted to the Beneficiaries shall be subject to the terms and conditions set forth in this Agreement.
BDRs means Brazilian depository receipts representing Common Shares listed for trading on the BOVESPA.

BDRs means Brazilian Depositary Receipts, each representing five Shares, issued under the BDR Deposit Agreement that are validly issued and outstanding, or interim certificates representing such BDRs; provided, however, that, if there shall occur any split-up or consolidation, reclassification, exchange, conversion or other change in respect of the BDRs of the Company, the term “BDRs” shall thereafter also mean the successor securities resulting from such split-up or consolidation, reclassification, exchange, conversion or other change.
