Base Case Financial Model Update definition

Base Case Financial Model Update means the Base Case Financial Model as most recently updated pursuant to Section 4.3 prior to any event identified therein or prior to termination of the Agreement.

Examples of Base Case Financial Model Update in a sentence

  • In the event of a challenge, the immediately preceding Base Case Financial Model Update that has not been challenged (or, if there has been no unchallenged Update, the Base Case Financial Model) shall remain in effect pending the outcome of the challenge or until a new Base Case Financial Model Update is issued and unchallenged.

  • If a proposed Base Case Financial Model or Base Case Financial Model Update (as applicable) has not been disputed, or if any such Dispute has been so resolved, the proposed Base Case Financial Model or Base Case Financial Model Update (as applicable) will serve as the Base Case Financial Model or the current Base Case Financial Model Update (as applicable) and will be submitted to the Escrow Agent in accordance with Section 18.05(d).

  • Whenever Developer provides any updated financial model to TIFIA, whether or not such updated financial model constitutes a Base Case Financial Model Update for purposes of this Agreement, Developer shall provide TxDOT with a copy thereof.

  • Such application shall also include a thorough analysis of the effect each change is expected to have on Developer’s internal rate of return (determined using the Financial Model Formulas), including the effects on the Base Case Financial Model Update (or if there has been no Base Case Financial Model Update, on the Base Case Financial Model) and on the assumptions and data therein.

  • Where the Base Case Financial Model Update is pursuant to Section 5.2.1.1, TxDOT shall have the right to challenge, according to the Dispute Resolution Procedures, the validity, accuracy or reasonableness of any Base Case Financial Model Update or the related updated and revised assumptions and data.

  • When running new projections and calculations under the Financial Model Formulas to establish a Base Case Financial Model Update pursuant to Section 4.3.1(b), Developer shall incorporate only those changes caused by the event for which the Base Case Financial Model Update is being prepared; unrelated changes caused by the actual performance of the Project shall be disregarded.

  • Where the Base Case Financial Model Update is pursuant to Section 5.4.1.1, TxDOT shall have the right to challenge, according to the Dispute Resolution Procedures, the validity, accuracy or reasonableness of any Base Case Financial Model Update or the related updated and revised assumptions and data.

  • To the extent that the Developer and the Department cannot agree on the changes within 90 Days of the Developer delivering the proposed Base Case Financial Model or Base Case Financial Model Update (as applicable) to the Department, the Dispute will be resolved in accordance with the dispute resolution procedures described in Article 21.

  • If a Base Case Financial Model Update occurs prior to the Base Case Financial Model adjustment under Section 3.6.1, then the Base Case Financial Model Update shall be revised to also incorporate the effect of the Base Case Financial Model adjustment under Section 3.6.1.

  • Within 21 Days after receipt, the Department will accept or dispute a proposed Base Case Financial Model or Base Case Financial Model Update (as applicable) and, if it disputes a proposed Base Case Financial Model or Base Case Financial Model Update (as applicable), specifying its reasons for such dispute in sufficient detail to enable the Developer to correct the errors or deficiencies.

Related to Base Case Financial Model Update

  • Base Case Financial Model means the base case financial model agreed by the Parties in writing as accurately representing the terms and conditions of the financing for the Project on a limited recourse or project finance basis and furnished by the Feed-in Approval Holder to the Distribution Licensee on or before the date of the Financial Closing Date for the Initial Financing Documents;

  • Financial Model means the computer model a Proponent has used and which is proposed to become the Financial Model under the Project Agreement in the format specified in Part 2 of Schedule 3 to this RFP;

  • Base Case A statement of the technical, economic and tax assumptions relating to the Project in the form of a run of the Financial Model as updated from time to time.

  • Base Case Model means the financial model and statements including profit and loss, balance sheet and financial projections reflecting the forecasted consolidated financial conditions of the Group for the term of this Agreement (for these purposes assuming both before and after the incurrence of the indebtedness under the Finance Documents), each in form and substance satisfactory to the Finance Parties addressed to, and/or capable of being relied upon by the Finance Parties.

  • Financial Monitoring Report or “FMR” means each report prepared in accordance with Section 4.02 of this Agreement;
