Examples of ATSG in a sentence
For any Valuation Date, the per Share volume-weighted average price as displayed under the heading “Bloomberg VWAP” on Bloomberg page ATSG <equity> AQR (or any successor thereto) in respect of the period from the scheduled opening time of the Exchange to the Scheduled Closing Time on such Valuation Date (or if such volume-weighted average price is unavailable, the market value of one Share on such Valuation Date, as determined by the Calculation Agent).
Applicable Limit Price: On any day, the opening price as displayed under the heading “Op” on Bloomberg page ATSG <equity> (or any successor thereto).
ATSG has an obligation to file this Agreement with the U.S. Securities and Exchange Commission and the Parties shall cooperate in seeking confidential treatment of such portions hereof as may be agreed to by the Parties.
For purposes of this Section, the sale or other transfer of (i) more than a cumulative aggregate of fifty percent (50%) of the voting shares of ATSG, ABX or CAM or (ii) all or substantially all of the assets, property or business of ATSG, ABX or CAM, to a major integrated international air express delivery company with annual revenues in excess of $5 billion, shall be considered an assignment by ABX or CAM, as applicable, for purposes of this Agreement.
A duplicate copy of each notice, certificate, request or other communication given hereunder to the Director, the Borrower, the Lessee, ATSG, the Operating Company or the Trustee shall also be given to the others.
The preceding sentence shall specifically apply to, but not be limited to, any prior agreement between you and ATSG Air, Inc.
The Borrower, the Director, the Lessee ATSG, the Operating Company and the Trustee may, by notice given hereunder, change a Notice Address or designate any further addresses to which subsequent notices, certificates, requests or other communications shall be sent.
ATSG and ABX shall have the right to control the defense of any such Action for which indemnification is sought by the DHL Indemnified Parties under this Section 1.3(b).
Any such advanced amounts, to the extent not actually incurred and paid by such DHL Indemnified Party in the defense of such Action, shall promptly be returned to ATSG or ABX (as the case may be) upon the final disposition of such Action.
In addition, ATSG and ABX shall pay all reasonable expenses, including reasonable attorneys’ fees, which are actually incurred and paid by any DHL Indemnified Party in connection with its enforcement of the foregoing rights provided in this Section 1.3(b), but only if and to the extent such DHL Indemnified Party ultimately prevails in such enforcement.
