ATS Group definition

ATS Group means ATS and each Person that ATS directly or indirectly controls (within the meaning of the Securities Act), other than any member of the Photowatt Group.

  • ATS shall (and shall cause its respective Group members and Representatives to) hold in strict confidence and restrict the use of the confidential and proprietary Information of third Persons to which any member of the ATS Group has access, in accordance with the terms of any agreements entered into prior to the Separation Time between members of the Photowatt Group and such third Persons.

  • Photowatt acknowledges that members of the ATS Group have entered into various arrangements in which one or more members of the ATS Group issued or made available guarantees, sureties, bonds, letters of credit or similar instruments or are the primary obligors on other agreements, in any such case to support or facilitate the Existing Photowatt Business or the Photowatt Business (the “Business Guarantees”).

  • Photowatt shall (and shall cause its respective Group members and Representatives to) hold in strict confidence and restrict the use of the confidential and proprietary Information of third Persons to which any member of the Photowatt Group has access, in accordance with the terms of any agreements entered into prior to the Separation Time between members of the ATS Group (whether acting through, on behalf of, or in connection with, the Photowatt Business or otherwise) and such third Persons.

  • ATS shall cause to be performed, and hereby guarantees the performance of, all actions, agreements and obligations set forth in this Agreement or in any Separation Agreement to be performed by any member of the ATS Group.

  • In order to effect the transfer of the Photowatt Assets by the ATS Group to the Photowatt Group on the terms contemplated by the Separation Agreements, which transfers are to occur prior to or concurrent with completion of the Offering as contemplated by the Separation Agreements, each Party will enter into the Separation Agreements other than this Agreement at the Separation Time.

  • ATS agrees, for itself and as agent for each member of the ATS Group, not to make any claim or demand, or commence any Action asserting any claim or demand, including any claim of contribution or any indemnification, against Photowatt or any member of the Photowatt Group, or any other Person released pursuant to Section 8.1(b), with respect to any Liabilities released pursuant to Section 8.1(b).

  • Photowatt agrees, for itself and as agent for each member of the Photowatt Group, not to make any claim or demand, or commence any Action asserting any claim or demand, including any claim of contribution or any indemnification, against ATS or any member of the ATS Group, or any other Person released pursuant to Section 8.1(a), with respect to any Liabilities released pursuant to Section 8.1(a).

  • Photowatt, for itself and as agent for each member of the Photowatt Group, and ATS, for itself and as agent for each member of the ATS Group, do hereby agree, represent, and warrant that the matters released herein are not limited to matters which are known or disclosed.

  • Photowatt acknowledges that it and other members of the Photowatt Group may have in its or their possession confidential or proprietary Information of third Persons that was received under a confidentiality or non-disclosure agreement between a member of the ATS Group and such third Person prior to the Separation Time.

Related to ATS Group

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Supplier Group means the Supplier and its Affiliates from time to time and "Supplier Group Company" means any company or corporation within the Supplier Group;

  • Agent’s Group has the meaning specified in Section 8.02(b).

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • ATS means an alternative trading system, as defined in Rule 300(a)(1) of Regulation ATS under the Exchange Act.

  • User Group means (a) you; (b) any entity or individual that Stripe reasonably determines is associated with you; and (c) each of your and their Affiliates; that has entered into an agreement with Stripe (or an Affiliate of Stripe) under which Stripe or its Affiliate provides services.

  • Related Group For Loan Group 1, Group 1 and for Loan Group 2, Group 2.

  • Customer Group means Customer and any of its Affiliates;

  • Comparator Group is defined as the following nine U.S. based carriers including, AirTran Airways, Inc., Alaska Air Group, Inc., AMR Corporation, Continental Airlines, Inc., Delta Air Lines Inc., JetBlue Airways Corporation, Southwest Airlines Co., US Airways Group, Inc. and UAL Corporation.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • Top Paid Group means the top 20 percent of Employees who performed services for the Employer during the applicable year, ranked according to the amount of "415 Compensation" (determined for this purpose in accordance with Section 1.26) received from the Employer during such year. All Affiliated Employers shall be taken into account as a single employer, and Leased Employees within the meaning of Code Sections 414(n)(2) and 414(o)(2) shall be considered Employees unless such Leased Employees are covered by a plan described in Code Section 414(n)(5) and are not covered in any qualified plan maintained by the Employer. Employees who are non-resident aliens and who received no earned income (within the meaning of Code Section 911(d)(2)) from the Employer constituting United States source income within the meaning of Code Section 861(a)(3) shall not be treated as Employees. Additionally, for the purpose of determining the number of active Employees in any year, the following additional Employees shall also be excluded; however, such Employees shall still be considered for the purpose of identifying the particular Employees in the Top Paid Group:

  • Affiliated Group means any affiliated group within the meaning of Code Section 1504(a) or any similar group defined under a similar provision of state, local or foreign law.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Group the Company and its subsidiaries

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.
