  • This Consent shall be binding upon and benefit the successors and assigns of Contracting Party, Assignor, Agent and their respective successors, transferees and permitted assigns (including without limitation, any entity that refinances all or any portion of Assignor’s obligations under the Financing Agreement).

  • No amendment, modification, termination, or waiver of any provision of this Assignment will be effective without the written concurrence of Assignor, Agent and Assignee.

Related to Assignor Agent

  • Assignor Lender shall have the meaning given to that term in Section 8.05(c).

  • Assignor as defined in Section 10.6(c).

  • Vendor Agent - means any person mandated by a prime vendor or consortium/joint venture to do business for and on behalf of, or to represent in a business transaction, the prime vendor and thereby acquire rights for the prime vendor or consortium/joint venture against CIPC or an organ of state and incur obligations binding the prime vendor or consortium/joint venture in favour of CIPC or an organ of state.

  • Successor Agent has the meaning set out in Section 15.10.

  • Assignee Lender is defined in Section 11.11.1.
