  • No SHARES may be sold, transferred, assigned, pledged, hypothecated or otherwise disposed of by any holder thereof except (i) pursuant to a public offering thereof registered under the SECURITIES ACT, or (ii) an opinion of counsel satisfactory to APOLLON that registration under the SECURITIES Act is not required in connection with such sale, transfer, assignment, pledge, hypothecation or other disposition.

  • APOLLON and WRAIR may elect to terminate this Agreement, or portions thereof, at any time by mutual consent.

  • GENERAL shall promptly advise APOLLON in writing of each Invention disclosed to GENERAL and shall discuss with APOLLON whether a patent application or applications pertaining to such Invention shall be filed and in which countries.

  • If APOLLON has underpaid royalties by 5% or more, APOLLON will pay the costs and expenses of said accountants in connection with their review or audit.
