APHI has filed a consolidated Return for federal Income Tax purposes on behalf of itself and other members of the affiliated group (within the meaning of Section 1504 of the Code) of which it is the parent corporation since at least the date on which it was incorporated. The accruals for deferred Taxes reflected in the audited financial statements of APHI for the year ended December 31, 1996 and in the unaudited consolidated financial statements of APHI and its Subsidiaries for the period ended September 30, 1997 are adequate in all material respects to cover any deferred Tax liability of APHI and its Subsidiaries determined in accordance with generally accepted accounting principles through the date thereof.
