AGENT'S DUTIES. The Agent shall: 24.2.1 promptly send to each Bank details of each communication received by it from an Obligor under this Agreement, except that details of any communication relating to a particular Bank shall be sent to that Bank only 24.2.2 promptly send to each Bank a copy of any legal opinion delivered under this Agreement and of any document or information received by it under Clause 19 24.2.3 subject to the other provisions of this Clause 24, act in accordance with any instructions from the Majority Banks and 24.2.4 have only those obligations and responsibilities, of a solely mechanical and administrative nature, expressly specified in this Agreement.
AGENT'S DUTIES. The Agent shall: (1) promptly send to each Lender details of each communication received by it from the Borrower under this Agreement, except that details of any communication relating to a particular Lender shall be sent to that Lender only; (2) promptly send to each Lender a copy of any legal opinion delivered under this Agreement and of any document or information received by it under Clause 4 or Clause 13; (3) subject to the other provisions of this Clause, act in accordance with any instructions from the Majority Lenders or, if so instructed by the Majority Lenders, refrain from exercising a right, power or discretion vested in it under this Agreement, and (4) have only those duties, obligations and responsibilities expressly specified in this Agreement.

  • Any rights to inventions acquired by either Party pursuant to any such Material Transfer Agreement shall be deemed Joint Collaboration Technology.

  • Customs Duties means any duties, taxes and levies on imported goods under the Customs Act, the Customs Tariff, the Excise Act, the Excise Tax Act, the Special Import Measures Act or any other law relating to customs, excluding any penalties, interest or fines imposed under any of the aforesaid acts or any other law relating to customs.

  • Duties includes obligations.

  • Responsibilities means the responsibilities delegated to BNY under the Rule as a Foreign Custody Manager with respect to each Specified Country and each Eligible Foreign Custodian selected by BNY, as such responsibilities are more fully described in Article III of this Agreement.

  • Duties and Charges means in relation to any particular transaction or dealing all stamp and other duties, taxes, Government charges, bank charges, transfer fees, registration fees and other duties and charges in connection with the increase or decrease of the Trust Property or the creation, issue, sale, transfer, redemption or purchase of Units or the sale or purchase of Investment or in respect of the issue, transfer, cancellation or replacement of a Certificate or otherwise which may have become or may be payable in respect of or prior to or upon the occasion of the transaction or dealing in respect of which such duties and charges are payable, but do not include the remuneration payable to the Distribution Company or any Commission payable to agents on sales and redemption of Units or any Commission charges or costs which may have been taken into account in ascertaining the Net Asset Value.
