Advance Certificate definition
Advance Certificate has the meaning set forth in Section 1.5.
Advance Certificate means a certificate executed by an Authorized Borrower Representative in substantially the form attached hereto as EXHIBIT C, requesting the Underwriter to assign CUSIP numbers and requesting the Trustee to authenticate a Subsequent Subseries of the Series 2024A Bonds.
Advance Certificate means, with respect to each Advance, a certificate duly executed by an Approved Officer of Borrower and issued to the Administrator pursuant to Section 2.3(a) which shall: (i) be in substantially the form of Exhibit A; (ii) specify the amount to be advanced and the proposed Advance Date; (iii) be accompanied by or include as attachments thereto documentary evidence reasonably satisfactory to the Administrator of the costs proposed to be financed with proceeds of the Loan which are the subject of such Advance and of their eligibility as Allowable Costs (which may include final invoices due but not yet paid); (iv) certify that all such costs are Allowable Costs; (v) be accompanied by an updated form of Schedule B categorizing the Allowable Costs by line-item identified therein; and (vi) certify that, as of the Advance Date, all conditions precedent set out in Article II will be satisfied and no Material Adverse Effect, Breach or Advance Suspension Event has occurred and is continuing or will occur as the result of the Advance.
