Additional Recipient definition

Additional Recipient means a person to whom any Confidential Information is disclosed pursuant to clauses 4.1 (i) or 4.1(ii). This Agreement does not apply to Confidential Information: to the extent that it is or becomes generally available to the public in the United Kingdom, other than as a result of breach of this Agreement; which the Recipient can show (by any reasonable means including by its written or other records) was in its possession prior to receipt from GLNG or any member of the National Grid Group and which had not previously been obtained from GLNG or another person under an obligation of confidence; which the Recipient obtains or has available from a source other than GLNG or any member of the National Grid Group without breaching any obligation of confidence. INTELLECTUAL PROPERTY AND OTHER RIGHTS No right or licence is granted to the Recipient in relation to the Confidential Information except as expressly set out in this Agreement. In particular no licence is hereby granted directly or indirectly under any patent, invention, discovery, copyright or other intellectual property rights now or in the future held, made or obtained or licensable by GLNG or any member of the National Grid Group. NO WARRANTY GLNG accepts no responsibility for and makes no representation or warranty, express or implied, with respect to the truth, accuracy, completeness or reasonableness of the Confidential Information. GLNG is not liable to the Recipient or another person in respect of the Confidential Information or its use.

  • The Recipient shall inform each Additional Recipient of the terms of this Agreement and shall ensure that each Additional Recipient complies with the terms of this Agreement as if the Additional Recipient were a party to this Agreement.

  • Recipient shall not, and shall ensure that the Additional Recipient Parties do not, disclose, provide, or make such Confidential Information available to any third party except to Recipient’s employees, contractors, and consultants who have a need to access such Confidential Information to enable Recipient to fulfill its obligations or exercise its rights under this Agreement.

  • The identity of any Additional Recipient shall be deemed Confidential Information hereunder.

  • Counsel to any Additional Recipient shall provide a copy of each Addendum executed by an Additional Recipient via email to the undersigned counsel for each of the Diocese and the Committee.
