Additional Capital Notice definition

Additional Capital Notice has the meaning given to that term in clause 19.3(b). Affiliate means in relation to a person (First Person), any other person:
Additional Capital Notice means a notice described in Section 3.5.
Additional Capital Notice shall have the meaning set forth in Section 3.3(a) hereof.

Examples of Additional Capital Notice in a sentence

  • The time for the payment of any Additional Capital Contribution to the Company shall be determined by the BH Investor, but shall in no event be less than ten (10) days after the delivery of the Additional Capital Notice.

  • The time for the payment of any Additional Capital Contribution to the Partnership shall be determined by the General Partner, but shall in no event be less than ten (10) days after the delivery of the Additional Capital Notice.

  • Acquisition Notice has the meaning set forth in Section 2.6(a).

  • Additional Capital Contribution has the meaning set forth in Section 3.02.

  • Allocation Notice shall have the meaning assigned to such term in Section 11.14(i) hereof.

  • Notice of Extension/Conversion means the written notice of extension or conversion in substantially the form of Exhibit 3.2, as required by Section 3.2.

  • Addition Notice With respect to the transfer of Subsequent Mortgage Loans to the Trust Fund pursuant to Section 2.08, a notice of the Depositor's designation of the Subsequent Mortgage Loans to be sold to the Trust Fund and the aggregate principal balance of such Subsequent Mortgage Loans as of the Subsequent Cut-off Date. The Addition Notice shall be given not later than three Business Days prior to the related Subsequent Transfer Date and shall be substantially in the form attached hereto as Exhibit P.

  • Replacement Capital Covenant has the meaning specified in the introduction to this instrument.

  • Capital Call means a call upon all or any of the Investors for payment of all or any portion of their Unfunded Commitments.

  • Non-Renewal Notice shall have the meaning set forth in Section 2.

  • Rate Determination Notice has the meaning specified in Section 3.07(g).

  • Qualifying Replacement Capital Covenant has the meaning specified in the Replacement Capital Covenant.

  • General Notice means any notice given in accordance with this Agreement other than a Transfer Notice;

  • Investor Notice means written notice from an Investor notifying the Company and the selling Key Holder that such Investor intends to exercise its Secondary Refusal Right as to a portion of the Transfer Stock with respect to any Proposed Key Holder Transfer.

  • Additional Default means any provision contained in any document or instrument creating or evidencing Indebtedness of the Borrower or any of its Subsidiaries which permits the holder or holders of such Indebtedness to accelerate (with the passage of time or giving of notice or both) the maturity thereof or otherwise requires the Borrower or any of its Subsidiaries to purchase such Indebtedness prior to the stated maturity thereof and which either (i) is similar to any Default or Event of Default contained in Article VIII of this Agreement, or related definitions in Section 1.1 of this Agreement, but contains one or more percentages, amounts or formulas that is more restrictive or has a xxxxxxx xxxxx period than those set forth herein or is more beneficial to the holder or holders of such other Indebtedness (and such provision shall be deemed an Additional Default only to the extent that it is more restrictive or more beneficial) or (ii) is different from the subject matter of any Default or Event of Default contained in Article VIII of this Agreement, or related definitions in Section 1.1 of this Agreement.

  • Variation Notice means a written notice signed by a Shareholder (or each Shareholder in the case of a joint shareholding) under clause 8.1 in the form prescribed or approved by the Board from time to time, which may (without limitation) be combined with, or form part of, any other form or notice including an Election Form).

  • Preliminary Default Notice shall have the meaning ascribed thereto in Article 13 of this Agreement;

  • Publication Notice means the summary notice of proposed Settlement and hearing for publication substantially in the form attached as Tab 3 to Exhibit A.
