Except as otherwise set forth in this Agreement, the ACL Financial Statements or Schedule 3.6, from December 26, 1997 through the date hereof, there has been no material adverse change in, and there has not been any occurrence which, when taken together with all other such changes or occurrences, would have a material adverse effect on ACL.
Each consolidated statement of financial position included in the ACL Financial Statements may be hereinafter referred to as an "ACL Balance Sheet," and each consolidated statement of earnings and retained earnings included in the ACL Financial Statements may be hereinafter referred to as an "ACL Income Statement." The ACL Financial Statements have been prepared from and are consistent with the books and records of ACL Holdings and its Subsidiaries or ACL Holdings, as the case may be.
