Examples of Accor Group in a sentence
In the event that CLG or Newco2 rejects an offer contained in an ROFR Notice, or fails to deliver a Transfer Notice, any Accor Group Member may offer such franchise to a third party other than a CLG Competitor on terms no more favourable to the third party than those provided in the ROFR Notice.
For the avoidance of doubt, this Agreement shall not prevent any Accor Group Member from acquiring (whether in or outside of the Target Territories) any (i) interest in a Real Property Business, or (ii) direct interest in any Real Property.
Notwithstanding anything herein to the contrary, nothing shall prevent any Accor Group Member from operating, managing, licensing, owning or franchising any Hotels under a Newly Created Hotel Brand in the Target Territories if CLG or Newco2 (as the case may be) rejects an Exclusive Franchise Offer or fails to deliver a Transfer Notice.
If the Accor Group and / or the Hotel authorises the Client to use the Distinctive Signs, the Client undertakes to do so only for the purposes for which this authorisation has been granted.
The Client undertakes not to reproduce, represent, adapt or modify, in any way whatsoever, the marks, brands, logos or other distinctive signs of the Accor Group and / or the Hotel, (hereinafter "Distinctive Signs"), except with the prior express written consent of the Accor Group and / or the Hotel (as applicable).
Accor Group has adopted various principles, standards and commitments regarding ethics and social responsibility applicable to all hotels operating under an Accor Group brand, such as the Code of Business Ethics and Corporate Social Responsibility and the Planet 21 program, which are all available on the Accor Group’s website and might be amended from time to time.
If an action is brought by a third party against the Client for infringement of the Distinctive Signs that have been the subject of this authorisation for use, the Client must immediately inform the Accor Group.
