Remuneration. PRODYNA shall charge the customer for all services- working hours, travelling times as well as any other services, including travel and accommodation expenses – described in the quotation, in accordance with the agreed prices and conditions or respectively according ot the prices and conditions specified in ▇▇▇▇▇▇▇’▇ written offer.

Remuneration. Jedes Aufsichtsratsmitglied erhält neben dem Ersatz seiner baren Auslagen eine Vergütung, die die Hauptversammlung festsetzt.
Remuneration. In addition to reimbursement of any cash expenses incurred by him, each member of the Supervisory Board shall receive a remu- neration, which shall be determined by the Shareholders' Meeting.
Remuneration. Unless a separate fee agreement has been made, the current price list of the voice-over applies to the amount of the individual remuneration, which can be requested at any time and is available for inspection in the production studios. In the event that a production date cannot be met by the client, a cancellation fee of 40% of the respective remuneration is due for payment to the voice-over; unless the client cancels the production, on weekdays at least 18 hours before the agreed time. If the voice-over cannot meet the agreed-to production date for reasons for which he / she is not responsible, e.g., illness or acts of God, the proof of which he / she must provide on request, he / she is not liable for any associated costs of the client. Mistakes for which the voice-over is responsible (e.g., pronunciation errors) must be reported within 14 days. Corrections will be made within this period without additional fee. After 14 days, the client will be charged a fee for a new recording. If a voice recording has been accepted by the client who is personally present, or by a person commissioned by him, no further complaints can be made after this acceptance (due to mistakes for which the voice-over is responsible). In such a case, a correction of the original recording is considered a new recording to be charged. If a text has to be recorded again after acceptance due to changes in the text, this is also considered to be a new recording that has to be charged.
Remuneration. Die Mitglieder des Aufsichtsrats erhalten jeweils eine feste jährliche Vergütung von EUR 50.000,00 (in Worten: fünfzigtausend). Für den Vorsitzenden des Aufsichtsrats beträgt die feste Vergütung nach Satz 1 EUR 150.000,00 (in Worten: einhundertfünfzigtausend) und für den stellvertretenden Vorsitzenden des Aufsichtsrats EUR 60.000,00 (in Worten: sechzigtausend). Auf die nach vorstehendem Satz erhöhte Vergütung des Vorsitzenden und stellvertretenden Vorsitzenden des Aufsichtsrats ist eine etwaige zusätzliche Vergütung gemäß nachstehendem Absatz (2) anzurechnen.
Remuneration. Only claims that are undisputed or legally asserted may be set off against claims PRODYNA. Claims (except for monetary claims pursuant to Sec. 1396a of the Austrian Civil Code (ABGB)) may not be assigned to third parties.
Remuneration. 4.1. The remuneration payable by the Client for the services rendered by HR-Office is determined by the remuneration agreed between the Parties in each specific request or order by the Client and accepted by HR-Office. Any remuneration is exclusive of statutory value added tax. 4.2. Should the Client enter into any contractual relationship with a Candidate introduced by HR-Office pursuant to Section 2.1, HR-Office shall be entitled to a Placement Fee. Unless otherwise agreed between the Parties in the specific request or order, this Fee shall be calculated in accordance with the following provisions: 4.2.1. If the Client, or any company affiliated with the Client in accordance with Section 15 AktG of the German Stock Corporation Act, enters into an employment relationship with a Candidate introduced by HR-Office in accordance with Section 2.1.1, the Placement Fee amounts to 30% of the hired Candidate’s total annual gross compensation, assuming an achievement by the Candidate of 100% of all targets in the first year of employment or engagement. All performance-related and non- performance-related compensation components, including all additional benefits such as special payments, bonuses, vacation pay, Christmas bonuses, bonuses, stocks, etc., are taken into account to calculate the Candidate’s total annual gross compensation. Non-performance-related bonuses, such as non-cash benefits (e.g. company car), allowances for travel or housing, or representation allowances are recognized at their taxable value. A lump sum of EUR 10.000,00 is added to the gross annual compensation for the 10.000,00 zum Bruttojahresgehalt hinzuaddiert. Erfolgsabhängige Gehaltszulagen, wie z.B. Tantiemen, Boni oder Gewinnanteile, werden mit ihrem normalerweise zu erwartenden oder üblichen Wert angesetzt. Sachleistungen werden mit ihrem geldwerten Vorteil angesetzt. 4.2.2. Geht der Auftraggeber oder ein nach § 15 AktG mit dem Auftraggeber verbundenes Unternehmen mit einem durch HR-Office vorgestellten Kandidaten ein Vertragsverhältnis zur Erbringung von Arbeits- oder Dienstleistungen nach Ziffer 2.1.2 ein, entweder direkt mit dem Kandidaten oder indirekt über einen Dritten, so wird die Ursächlichkeit der Tätigkeit von HR- Office für das Zustandekommen des Vertragsverhältnisses vermutet. Die Vermittlungsgebühr beträgt in diesem Fall 30% der gesamten Bruttovergütung, welche der Auftraggeber dem Kandidaten direkt, oder dem Dritten für das erste Jahr der Vertragsbeziehung zahlt. 4.3.
