AGREEMENT is made and entered into as , August 15, 2022 (the “Agreement”), by and among REYNEN COURT INC., a Delaware corporation (the “Company”) and each of the entities identified on Exhibit A hereto (each, an “Investor” and, collectively, the “Investors”) and, in addition, each person or entity not an Investor who may hereafter become a party to this Agreement as a “Key Holder” in accordance with Section 4.15 hereof or becomes a party to this Agreement in accordance with Section hereof.
