THIS AGREEMENT is made and entered into on this _25 th_ day of October, 2006, by and between Onasi, Inc., a Utah corporation dba OnSat (“OnSat”) with its principal offices in Park City, Utah, and Viper Networks, Inc., a Nevada corporation (“Viper”) with its principal offices in San Diego, California.
