EXECUTION VERSION SHARE PURCHASE AGREEMENT THIS SHARE PURCHASE AGREEMENT, dated as of December 5, 2016 (this "Agreement"), is by and among VBI Vaccines Inc., a corporation organized under the laws of British Columbia, Canada (the "Company"), and each investor identified on the signature pages hereto (each, an "Investor" and collectively, the "Investors").
