THIS AGREEMENT is made and entered into this 23rd day of June, 2003, by and between the MP63 Fund, a Maryland corporation having its principal place of business at Suite B-103, 555 Theodore Fremd Avenue, Rye, New York 10580 (the “Fund”), and Mutual Shareholder Services, LLC, a Delaware Limited Liability Company having its principal place of business at Suite C, 8869 Brecksville Road, Brecksville, OH 44141 (“MSS”).
