THIS AGREEMENT is made and entered into as of October 1, 2016 by and between Third Avenue Variable Series Trust, a Delaware statutory trust, with its principal office and place of business at 622 3rd Avenue, 32nd Floor, New York, New York 10017 (the “Client”) and Foreside Fund Services, LLC, a Delaware limited liability company, with its principal office and place of business at Three Canal Plaza, Suite 100, Portland, ME 04101 (the “Distributor” and, together with the Client, the “Parties” and each a “Party”).
