THIS AMENDMENT TO THE SETTLEMENT AGREEMENT AND RELEASE ("Agreement"), dated as of August 19, 2008, is by and among Material Technologies, Inc., a Delaware corporation ("MaTech") and Kreuzfeld Ltd., ("Kreuzfeld") (Kreuzfeld shall be referred to as, the "Claimant") (individually, a "Party").

This Second Amendment to the Settlement Agreement and Release (“Second Amendment”) is entered into by and between TMCSF, Inc. dba Riverside Harley-Davidson (“Defendant” or “RHD”), on the one hand, and Alfredo Fuentes and Matthew Greene on behalf of themselves, the proposed Class, all others similarly situated, and on behalf of the general public (“Plaintiffs”), on the other hand.
