WHEREAS, the Issuer is offering securities of the Issuer, as identified on Schedule A (the “Securities”) in a private equity financing described in an offering document (the “Financing”) to investors (the “Investors”), and Issuer and Platform Operator represent that such offering is compliant with all applicable securities laws including without limitation, the Texas State Securities Act, as amended (the “Securities Act”) and any other governing acts, rules, regulations or amendments promulgated by the Texas State Securities Board;
