This Terms of Service Agreement (“Agreement”), together with the Order (defined below) govern Elemica, Inc.’s (“Elemica”) provision and Client’s use of the Elemica services set forth in the applicable Order (the “Services”). As used in this Agreement, “Agreement” means, collectively, (1) these Terms of Service, and (2) the Order. If a conflict exists between the Terms of Service and the Order Form, the terms and conditions of the application Order Form will control. This Agreement governs Client’s access to and use of the Services and will be effective on the Effective Date. The parties intending to be legally bound hereby agree as follows:
