THIS TERMINATION AND RELEASE OF LEASES dated as of the day of February, 2012, by and among the City of Wichita, Kansas, a municipal corporation (the “City”), and Dean and Deluca, Inc. with Northridge Warehouse, LLC as the successor Tenant, a corporation organized under the laws of the State of Kansas (the “Tenant”) and Commerce Bank and Trust of Kansas City, Kansas, a national banking association duly organized and existing and authorized to accept and execute trusts of the character herein set forth under the laws of the United States, with its office located in the City of Kansas City, Kansas (the “Trustee”);
