MLCS and PPLUS Trust Series GSC-2 (“Counterparty”) have entered into a Transaction (the “Transferred Transaction”), evidenced by a Confirmation (an “Transferred Confirmation”), subject to a 1992 ISDA Master Agreement including a Schedule thereto each dated July 16, 2004 (as may have been amended from time to time), a copy of which is attached to this agreement as Exhibit A (the “Transferred Master Agreement”).
