(“Company”) and Supplier concerning the Products and/or Services (hereafter “Products/Services”) provided or to be provided by Supplier in connection with a Purchase Order, except to the extent the sale and purchase of the Products/Services are governed by a separate written agreement executed by Company and Supplier. Except as set forth in the preceding sentence, all prior and/or contemporaneous negotiations and agreements, oral or written, concerning the Products/Services are superseded by this Agreement. No course of prior dealings between the parties, usage of trade or acquiescence in any course of performance hereunder will be relevant to supplement or explain any term used in this Agreement. All purchase orders (each, individually, an “Order”, collectively the “Orders”) between Solutions Manufacturing d/b/a SMI or Accutron, Inc. or any of its subsidiaries, including without limitation, Solutions Manufacturing (the "Buyer"), and the party identified as Seller, Supplier or Vendor on the face of the Purchase Order (the "Seller") is expressly limited to and made conditional upon the terms and conditions contained herein, and any of Seller's terms in addition to or different from those contained herein, whether provided in an acknowledgment, invoice, or other document sent to Buyer, are hereby objected to and shall be of no effect. The purchase order, together with these terms and conditions, and any attachments and exhibits, specifications, drawings, notes, instructions and other information, whether physically attached or incorporated by reference (collectively the “Purchase Order”), constitutes the entire and exclusive agreement between the I-TECH E-SERVICES (“I-Tech”) and the supplier (the “Supplier”) identified in the Purchase Order. Supplier’s electronic acceptance, via fax or email, acknowledgement of this Purchase Order constitutes Supplier’s acceptance of these terms and conditions. The Purchase Order does not constitute a firm offer and may be revoked at any time prior to such acceptance. Notwithstanding the foregoing, if a master agreement covering procurement of the Work described in the Purchase Order exists between Supplier and I-TECH E-SERVICES, the terms of such master agreement shall prevail over any inconsistent terms herein.
