This First Amendment and Supplement to Rights Agreement dated as of March 5, 2003 (the “First Supplement”) is made and entered into by and between Gevity HR, Inc., a Florida corporation (the “Company”), and American Stock Transfer & Trust Company, a New York corporation (the “Rights Agent”).

This AMENDMENT, dated as of March 4, 2009 (this “Amendment”), is made to the Rights Agreement dated as of April 23, 2002, as amended by the First Amendment and Supplement to Rights Agreement, dated as of March 5, 2003, and the Second Amendment and Supplement to Rights Agreement, dated as of June 6, 2003 (as amended, the “Rights Agreement”), by and between GEVITY HR, INC. (f/k/a Staff Leasing, Inc. d/b/a Gevity HR) (the “Company”) and AMERICAN STOCK TRANSFER & TRUST COMPANY, as Rights Agent (the “Rights Agent”).
