PetVivo Holdings, Inc., a Nevada corporation (“PetVivo”) is hereby offering up units (“Units” and individually “Unit”), each unit consisting of one (1) share of its common stock and one (1) common stock purchase warrant, at $0.90 per unit pursuant to this Subscription Agreement (“Agreement”). This private offering is being made pursuant to Section 4(a)(2) of the Securities Act of 1933, as amended (“Securities Act”). Offers and sales of the Units will be made only to “accredited investors” as defined in Rule 501 of the Securities Act. The offering price of the Units has been determined arbitrarily by the management of PetVivo, and bears no particular relationship to our net worth, revenues or any other standard criteria of value.

This Subscription Agreement (this “Subscription Agreement”) is being delivered to the purchaser identified on the signature page to this Agreement (the “Undersigned” or “Subscriber”) in connection with its investment in the securities of Oncotelic Therapeutics, Inc., a Delaware corporation (the “Company”). The Company is conducting a private placement (the “Offering”) of a minimum of 10 and a maximum of 200 Units (the “Units”), each of which consists of one note issued by the Company (a “Note” and collectively, the “Notes”), in the principal amount of $25,000.00 for a period of 2 years from the date of final closing of the Offering, bearing annual interest at the rate of 16%. Each Note will be convertible into 250,000 shares of Oncotelic’s Common Stock (conversion price $0.10 per share), subject to applicable anti dilution provisions.
