THIS STOCKHOLDER AND VOTING AGREEMENT (this "Agreement"), dated as of November 20, 2003, is made and entered into among Kinross Gold Corporation, a corporation organized in the Province of Ontario ("Kinross"), and Zoloto Investors, LP, a Delaware limited partnership, Solitario Resources Corporation, a Colorado corporation, Christopher E.
