(the “Effective Date”), is entered into by and between Tesla Motors, Inc., a Delaware corporation with a principal place of business located at 3500 Deer Creek Road, Palo Alto, CA 94304 (“Tesla”), and Napa Sanitation District, a California county sanitation district with a principal place of business located at 1515 Soscol Ferry Road, Napa, CA 94558 (“Customer”). Tesla and Customer are sometimes individually referred to as a “Party” and collectively as the “Parties.”
