THIS SPLIT-DOLLAR AND DEFERRED COMPENSATION REPLACEMENT BENEFIT AGREEMENT (the “Agreement”) is made and entered into as of the 5th day of December, 2003, and shall be effective as of December 27, 2003 (the “Effective Date”), by and between COCA-COLA BOTTLING CO.
