SOUTHWESTERN ENERGY COMPANY, a Delaware corporation (“Southwestern”), has on this ____ day of _________, 20__ (the “Award Date”) granted to _____________ (the “Participant”) an award in the form of cash units (the “Award”), the value of which depends on the performance of the Company over a specified time period (the “Performance Cash Units”). This Award is subject to the terms of this Performance Cash Unit Award Agreement (the “Agreement”) and is made pursuant to the Southwestern Energy Company 2022 Incentive Plan (the “Plan”) and the Southwestern Energy Company Guidelines for Performance Cash Units Awards (the “Guidelines”) thereunder, both of which are incorporated into this Agreement by reference.
