The following terms, including the terms and conditions found in all Exhibits (the "Agreement"), represent the full understanding of United Public Safety, Inc. ("UPsafety") and the Party named below ("Client" and with UPsafety, the "Parties" and each individually a "Party"). THESE TERMS ARE AN AGREEMENT WHICH GOVERNS THE PROVISION OF SERVICES UNDER THE APPLICABLE ORDER FORM OR STATEMENT OF WORK BETWEEN YOU, THE CUSTOMER (“YOU”), AND THE COVETRUS, INC. ENTITY SET FORTH THEREIN (“PROVIDER”). THESE TERMS ALSO APPLY TO ANY UPDATES, UPGRADES, MODULES, MATERIALS, INTERNET- BASED SERVICES, AND SUPPORT SERVICES FOR THIS SOFTWARE, UNLESS OTHER TERMS ACCOMPANY THOSE ITEMS.
