This Amended and Restated Share Purchase and Equity Exchange Agreement (the “Agreement”) has been made and entered into as of December 31, 2019 and is made to be effective as of April 18, 2019, and supersedes and replaces that certain agreement of even date known as the “Reverse Merger / Share Purchase Agreement Between Sierra Gold Corp.
