THIS SHARE PURCHASE AGREEMENT AND PLAN OF REORGANIZATION, dated as of September 28, 2004 (the “Agreement”), among Cardinal Minerals, Inc., a Nevada corporation (“Cardinal”), Universal Food and Beverage Company, a Delaware corporation (the “Company”) and those stockholders of the Company set forth on the signature pages to this Agreement, as it may be amended from time to time after the date hereof (the “Sellers”).
