This Settlement and Amended License Agreement (“Agreement”), effective as of December 3, 2015 (the “Effective Date”), is entered into by and between XOMA (US) LLC (“XOMA”), a Delaware limited liability company having offices located at 2910 Seventh Street Berkeley, CA 94710, as successor-in-interest of XOMA Ireland Limited, and Pfizer Inc.
